Terms & Conditions
These general terms and conditions of sale apply to all front-end development, e-commerce and Shopify store creation services provided by LC 20.05 (Laurie Curiant) to business clients.

Scope
These General Terms and Conditions of Sale ("Terms") govern the front-end development, integration, and Shopify store creation, configuration and support services provided by LC 20.05 (a French SARL), trading as Laurie Curiant, hereafter "the Provider".
They apply to any client acting in a professional capacity (hereafter "the Client") ordering these services. Specific terms agreed in writing in a quote or a dedicated service agreement prevail over these Terms in case of conflict.
Quotes and orders
Every engagement is covered by a written quote detailing scope, price and an indicative timeline. The quote is valid for 30 days from its date of issue.
An order is deemed firm once the Provider receives the Client's acceptance of the quote (signature or equivalent written agreement, including by email) and, where applicable, payment of the deposit. Any work outside the initial quote (added features, content or integrations) is covered by an additional quote before it is carried out.
Price and payment terms
Prices are stated in euros, exclusive of tax (VAT applies at the rate in force). Unless stated otherwise in the quote, one-off services are paid as follows: a 30% deposit on order, the balance on delivery.
Monthly support plans are billed as a subscription, payable monthly in advance. No discount is given for early payment.
Late payment automatically triggers interest, without prior notice, at the European Central Bank's most recent refinancing rate plus 10 points, plus a fixed €40 recovery fee as provided by French law (Article L. 441-10 of the French Commercial Code), without prejudice to further compensation if actual recovery costs exceed that amount.
Timelines
Timelines stated in the quote are indicative and run from the Provider's receipt of everything needed to carry out the service (content, access, approvals). Any delay by the Client in providing these or in approving deliverables extends the timeline accordingly.
Provider’s obligations
The Provider undertakes to carry out the service with care and in line with good practice, within the scope defined in the quote. This is a best-efforts obligation: the Provider does not guarantee the commercial success of the store, which depends on factors specific to the Client (products, market, marketing) beyond the Provider's control.
Client’s obligations
The Client undertakes to provide, in good time, everything needed to carry out the service (text and visual content, access to required third-party accounts — domain name, payment providers, etc.), to approve submitted work within the stated timeframes, and to hold the necessary rights over any content (text, images, logo, brand) it provides.
The Client remains solely responsible for the legal compliance of its own business: its store's legal notices and terms of sale, VAT applicable to its sales, and any industry-specific regulation applicable to its products.
Shopify services: setup packages and monthly support
The exact content of each package (Launch, Growth, Bespoke) is described in the quote or on the pricing page in force at the time of order. Package prices do not include the Shopify subscription itself, billed directly to the Client by Shopify according to the plan chosen, nor the cost of a paid theme if the Client selects one from the Provider's catalogue.
Monthly support (Essential and Comfort plans) is a separate subscription, taken out for a minimum term of 3 months then automatically renewed, and may be terminated by either party with 30 days' notice before the next renewal date.
It includes a monthly quota of minor requests, detailed in the quote or service agreement, covering only minor changes to an existing site: editing text, an image or a banner; adding or removing a single product; a minor layout adjustment on an existing template; updating or reconfiguring an already-installed app.
Excluded from this quota, and subject to an additional quote: any new app or integration, any new structural page, any visual redesign, any bespoke development, and any bulk catalogue import. Unused monthly quota does not roll over, unless stated otherwise in the service agreement.
Intellectual property
Subject to full payment of the price, the Client owns the elements created specifically for it (store configuration, customisations carried out). The Provider or third parties retain ownership of reusable software components, themes, apps and tools not specifically developed for the Client, as well as the Provider's methodological know-how.
Unless the Client requests otherwise in writing, the Provider retains the right to reference the completed work for commercial purposes.
Personal data (GDPR)
Each party processes the personal data under its control in compliance with the GDPR.
Where carrying out the service — in particular monthly support — requires the Provider to access the Client's customers' data through the Shopify admin, the Provider acts as a processor within the meaning of Article 28 GDPR: it will only process such data on the Client's documented instructions, strictly to the extent necessary for the service, will keep it confidential, will not retain it beyond what the service requires, and will delete or return it at the end of the agreement. A dedicated data processing agreement can be signed at the Client's request.

Confidentiality
Each party undertakes to keep confidential any non-public information it becomes aware of in the course of this agreement, and to use it only for that purpose, for the duration of the relationship and for two years afterwards.
Liability
The Provider's liability can only be engaged in case of proven fault in carrying out the service, and is capped at the tax-exclusive amount actually paid by the Client for the service concerned. The Provider is not liable for indirect damages (loss of revenue, customers or data) nor for malfunctions caused by third-party services (Shopify, apps, hosting, payment providers).
Term and termination
One-off services (setup packages) end on delivery and its acceptance by the Client, deemed acquired absent written objections within 8 days. The monthly support subscription continues until terminated under the conditions set out in the "Shopify services" section above.
In the event of a serious breach by either party not remedied within 15 days of a formal notice, the other party may terminate the agreement immediately, without prejudice to any damages.
Force majeure
Neither party will be liable for a failure to perform its obligations resulting from force majeure within the meaning of Article 1218 of the French Civil Code, including a prolonged unavailability of Shopify's services.
Governing law and disputes
These Terms, intended for clients acting in a professional capacity, are governed by French law. Any dispute regarding their formation, performance or interpretation will, absent an amicable resolution, fall under the exclusive jurisdiction of the courts where the Provider's registered office is located.
